1. Agreement to Terms

These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("User", "you" or "your") and Synced Intel ("Company", "we", "us" or "our") governing your access to and use of the Synced Intel platform, website, and services (collectively, the "Service").

By accessing or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.

These Terms are governed by the laws of the Republic of Uganda and subject to the jurisdiction of Ugandan courts.

2. Service Description

Synced Intel is a market intelligence platform that provides:

• Automated analysis of publicly available organizational information
• Detection and aggregation of procurement opportunities, RFPs, and tenders
• Competitor benchmarking and market intelligence
• Growth signal detection and business opportunity identification
• Dashboard and reporting tools for business intelligence

The Service collects and analyzes information from publicly accessible websites and sources. We do not access password-protected or private data without explicit authorization.

3. User Accounts and Registration

3.1 Account Creation: To access certain features of the Service, you must register for an account by providing accurate, current, and complete information.

3.2 Account Security: You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

3.3 Accurate Information: You agree to provide true, accurate, and complete information during registration and to update such information to keep it accurate and current.

3.4 Prohibited Accounts: You may not create an account if you are under 18 years of age or if you have been previously banned from the Service.

4. Acceptable Use Policy

You agree not to use the Service to:

• Violate any applicable laws or regulations of the Republic of Uganda or any other jurisdiction
• Infringe upon the intellectual property rights of others
• Transmit any harmful, offensive, or illegal content
• Attempt to gain unauthorized access to the Service or related systems
• Interfere with or disrupt the Service or servers or networks connected to the Service
• Use automated means (bots, scrapers) to access the Service without our express written permission
• Resell, redistribute, or sublicense the Service without authorization
• Use the Service for any fraudulent or malicious purpose
• Harvest or collect personal information about other users without their consent

5. Intellectual Property Rights

5.1 Our Rights: The Service, including its original content, features, functionality, and design, is owned by Synced Intel and is protected by Ugandan and international copyright, trademark, and other intellectual property laws.

5.2 Limited License: We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes in accordance with these Terms.

5.3 User Content: You retain ownership of any data, information, or content you submit to the Service ("User Content"). By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, and process such content solely for the purpose of providing the Service.

5.4 Feedback: Any feedback, suggestions, or ideas you provide about the Service become our property and may be used without compensation to you.

6. Subscription Plans and Payment Terms

6.1 Subscription Tiers: The Service is offered under various subscription plans (Free, Silver, Gold, Platinum) with different features and usage limits as described on our website.

6.2 Fees: Paid subscriptions require payment of fees as specified in your chosen plan. All fees are exclusive of applicable taxes unless otherwise stated.

6.3 Billing: Subscription fees are billed in advance on a monthly or annual basis. You authorize us to charge your designated payment method for all fees incurred.

6.4 Price Changes: We reserve the right to modify subscription fees upon 30 days' notice. Continued use of the Service after fee changes constitutes acceptance of the new fees.

6.5 Refunds: Subscription fees are generally non-refundable except as required by Ugandan consumer protection law or as specified in our refund policy.

6.6 Usage Limits: Each subscription tier includes usage limits (for example, number of scans per month). Exceeding these limits may result in service restrictions or additional charges.

7. Data Usage and Privacy

7.1 Public Data: The Service analyzes publicly available information from websites, government portals, and other public sources. We do not access private or password-protected information without authorization.

7.2 Your Privacy: Our collection and use of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

7.3 Data Protection: We comply with applicable data protection laws of the Republic of Uganda, including the Data Protection and Privacy Act, 2019.

7.4 Data Accuracy: While we strive to provide accurate information, we do not guarantee the accuracy, completeness, or currency of any data or intelligence provided through the Service.

8. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied.

To the fullest extent permitted by Ugandan law, we disclaim all warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that:

• The Service will be uninterrupted, secure, or error-free
• The results obtained from the Service will be accurate or reliable
• Any errors in the Service will be corrected
• The Service will meet your requirements or expectations

9. Limitation of Liability

To the maximum extent permitted by Ugandan law:

9.1 In no event shall Synced Intel, its directors, employees, partners, agents, suppliers, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

• Your access to or use of or inability to access or use the Service
• Any conduct or content of any third party on the Service
• Any content obtained from the Service
• Unauthorized access, use, or alteration of your transmissions or content

9.2 Our total liability to you for all claims arising from or related to the Service shall not exceed the amount you paid to us in the twelve (12) months preceding the claim, or UGX 1,000,000 (One Million Uganda Shillings), whichever is greater.

9.3 This limitation of liability applies whether the alleged liability is based on contract, tort, negligence, strict liability, or any other basis, even if we have been advised of the possibility of such damage.

10. Indemnification

You agree to defend, indemnify, and hold harmless Synced Intel, its affiliates, and their respective officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with:

• Your access to or use of the Service
• Your violation of these Terms
• Your violation of any third-party rights, including intellectual property, privacy, or publicity rights
• Your User Content or any content you submit through the Service
• Any fraudulent or illegal activity you engage in using the Service

11. Termination

11.1 Termination by You: You may terminate your account at any time by contacting us or using the account deletion feature in your settings. Upon termination, your right to access the Service will immediately cease.

11.2 Termination by Us: We reserve the right to suspend or terminate your account and access to the Service at our sole discretion, without notice or liability, for any reason, including:

• Violation of these Terms
• Fraudulent or illegal activity
• Non-payment of fees
• At your request
• Discontinuation or material modification of the Service

11.3 Effect of Termination: Upon termination, all provisions of these Terms which by their nature should survive termination shall survive, including intellectual property provisions, warranty disclaimers, and limitations of liability.

12. Dispute Resolution and Governing Law

12.1 Governing Law: These Terms shall be governed by and construed in accordance with the laws of the Republic of Uganda, without regard to its conflict of law provisions.

12.2 Jurisdiction: Any disputes arising from or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of Kampala, Uganda.

12.3 Informal Resolution: Before filing a claim, you agree to contact us at legal@syncedintel.com to attempt to resolve the dispute informally.

12.4 Arbitration: If informal resolution fails, disputes may be resolved through binding arbitration in accordance with the Arbitration and Conciliation Act of Uganda, at the election of either party.

13. Changes to Terms

We reserve the right to modify or replace these Terms at any time at our sole discretion. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect.

By continuing to access or use the Service after revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you must stop using the Service.

14. Miscellaneous Provisions

14.1 Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Synced Intel regarding the Service.

14.2 Waiver: Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.

14.3 Severability: If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions will remain in effect.

14.4 Assignment: You may not assign or transfer these Terms without our prior written consent. We may assign our rights and obligations without restriction.

14.5 Third-Party Rights: These Terms do not confer any third-party beneficiary rights.

14.6 Force Majeure: We shall not be liable for any failure to perform our obligations under these Terms due to circumstances beyond our reasonable control.
